1. Definitions
- Client: The business or organization using The Chef Academy LLC’s services to recruit candidates for permanent positions.
- Candidate: Any individual introduced by The Chef Academy LLC to the Client for potential employment.
- Engagement: The employment or any other form of work arrangement between the Client and a Candidate introduced by The Chef Academy LLC.
- Introduction: The provision of a Candidate’s details to the Client, regardless of the communication method used.
- Fees: The agreed-upon charges payable by the Client to The Chef Academy LLC for a successful Candidate placement.
2. Introduction of Candidates
2.1 The introduction of any Candidate by The Chef Academy LLC is confidential and must not be shared with third parties without consent.
2.2 Introductions are valid for a period of 12 months from the date of the initial introduction. If the Client or any associated entity engages the Candidate within this period, the applicable fee will be owed, regardless of whether the Candidate was initially hired through a different channel.
3. Fee Structure and Payment Terms
3.1 Fees: Our placement fee is 20% of the Candidate’s first-year gross annual salary, including any bonuses or benefits.
3.2 Payment Terms: The full placement fee is due within 30 days of the Candidate’s start date with the Client.
3.3 Late Payments: Invoices not settled within 30 days will incur interest at the rate of 1.5% per month on overdue amounts.
3.4 Refund Policy: If the Candidate’s employment is terminated within 30 days of starting, we will either provide a replacement Candidate at no extra charge or 75% refund of the original fee, if the Candidate leaves between 31-60 days: 50% refund of the original fee, if the Candidate leaves between 61-90 days: 25% refund of the original fee, beyond 90 days, no refund will be offered. Subject to all payments being up-to-date.
4. Client Responsibilities
4.1 The Client must provide accurate and complete information about the available position, including salary, benefits, and job description.
4.2 The Client is solely responsible for ensuring compliance with all applicable employment laws and regulations regarding the employment of any Candidate.
5. Confidentiality and Data Protection
5.1 Both The Chef Academy LLC and the Client agree to maintain the confidentiality of any proprietary or personal information related to Candidates or the recruitment process, unless disclosure is required by law.
5.2 We comply with all applicable U.S. data protection and privacy laws when handling personal data of Candidates.
6. Limitation of Liability
6.1 The Chef Academy LLC is not liable for any losses, damages, or costs incurred by the Client as a result of employing a Candidate introduced by us.
6.2 We do not provide any warranties regarding the suitability, qualifications, or performance of Candidates.
7. Termination of Services
7.1 Either the Client or The Chef Academy LLC may terminate these Terms at any time with written notice, but this will not affect any payments due for services already rendered.
7.2 If the Client hires a Candidate introduced by The Chef Academy LLC within 12 months of the introduction, our full placement fee will still be due, even after termination of these Terms.
8. Governing Law and Dispute Resolution
8.1 These Terms are governed by and construed under the laws of the United States and the state of Delaware.
8.2 Any disputes that arise will be subject to negotiation between the parties in good faith. If unresolved, the matter will be referred to arbitration or mediation in accordance with the rules of the American Arbitration Association (AAA), to take place in Delaware.
This ensures that the arbitration process is handled by a reputable and experienced body in employment and business disputes.
9. Changes to Terms
The Chef Academy LLC reserves the right to modify these Terms at any time without prior notice. Any changes will be posted on this page and will become effective upon publication.
